Terms of Service

Please read these Terms carefully. They contain a binding arbitration clause, a class action waiver (Section 17), and a limitation of liability (Section 12). By using our services you agree to these terms.
1. The agreement
These Terms of Service ("Terms") constitute a legal agreement between you (the "Customer," "you," or "your") and Blanc Steeze LLC, a Wyoming limited liability company doing business as Solia Wall ("Solia Wall," "we," "us," or "our"), with its principal office at 30 N Gould St Ste R, Sheridan, WY 82801, United States.
These Terms govern your purchase of the Solia Wall plaque (the "Plaque"), your use of the digital memorial wall hosting service (the "Wall"), your use of our website at soliawall.com (the "Site"), and any related products or services.
By purchasing a product, creating an account, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms.
2. Definitions
- "Account" — the customer account at soliawall.com/account where you manage orders, walls, and subscriptions.
- "Buyer" — the person who purchases a Plaque and / or a Wall subscription.
- "Content" — any photo, video, voicemail, audio recording, written text, or other material uploaded to a Wall.
- "Contributor" — a person whom the Buyer has invited to add Content to a Wall.
- "Deceased" — the person, pet, or other subject memorialized on a Wall.
- "Plaque" — the physical memorial plaque product we sell.
- "Subscription" — the recurring digital wall hosting service.
- "Token" — the unique identifier laser-engraved as a QR code on each Plaque.
- "Wall" — the digital memorial page hosted at w.soliawall.com.
3. Eligibility and account
To purchase from us or use the Site, you must be at least 18 years old (or the age of majority in your jurisdiction), have the legal capacity to enter into a binding contract, provide accurate information, keep your account credentials confidential, and promptly notify us of any unauthorized access. You are responsible for all activity that occurs under your account.
4. Memorial creation — authority and consent
When you create a Wall, you affirm and warrant that you have legal authority to create a memorial for the Deceased (you are the next of kin, the estate representative, the surviving spouse, the parent of a deceased minor child, or have written permission from the foregoing); that the Deceased is, in fact, deceased; that the Content you upload was created by you, by the Deceased while living, or by family / friends with permission; and that you will respect the privacy and likeness rights of any other persons appearing in Content.
5. Content ownership and license
You retain all ownership of any Content you upload to a Wall. By uploading, you grant Solia Wall a limited, non-exclusive, royalty-free, worldwide license to host, store, display, transmit, and serve the Content solely for the purpose of operating the Wall as you have configured it. We do not claim ownership of your Content. We do not resell it. We do not republish it outside the Wall. We do not use it to train artificial intelligence models.
6. Acceptable use
6.1 Permitted use
You may use a Wall to host photos, voicemails, video, audio recordings, and written tributes for a deceased person, pet, or other memorialized subject; invite family, friends, and other authorized Contributors to add Content; and share the Wall via QR code, link, or social media as you choose.
6.2 Prohibited use
You may not, and may not permit any Contributor or visitor to:
- Memorialize a living person without that person's explicit, documented consent
- Memorialize any person, pet, or subject without legal authority
- Post Content that is unlawful, defamatory, libelous, harassing, threatening, obscene, sexually explicit, infringing on intellectual property rights, or otherwise prohibited by applicable law
- Post Content that promotes hatred, violence, or discrimination based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or other protected characteristic
- Post Content that violates the privacy, publicity, or other rights of any third party
- Use the Wall for commercial advertising, promotion, or fundraising not directly related to the memorial subject
- Use the Wall as general media storage unrelated to the memorial
- Impersonate any person or entity
- Upload viruses, malware, or any code intended to damage, disrupt, or gain unauthorized access to any system
- Attempt to reverse engineer, decompile, scrape, or otherwise access source code or non-public APIs
- Use automated systems (bots, crawlers, scrapers) to access the Site without our prior written permission
- Resell, redistribute, or relicense the Plaque, the Wall, or the service to third parties
7. What Solia Wall does NOT do
Solia Wall does not, and will not:
- Generate, clone, or synthesize the voice of any deceased person using artificial intelligence
- Animate photographs of any deceased person
- Create simulated speech, simulated conversation, or simulated likeness of any deceased person
- Sell personal information to third parties
- Lock memorial Content behind a paywall (the Wall remains viewable at a basic tier even after Subscription cancellation)
8. Reporting and takedowns
Any verified immediate family member of the Deceased may request review of a Wall by emailing support@soliawall.com. We will acknowledge receipt within 2 business days, complete initial review within 5 business days, take down clearly disputed Content immediately while we investigate, mediate ownership disputes with bias toward de-escalation, and where ownership cannot be resolved by mediation, follow a court order. 9. Subscription billing
Subscription billing is governed by the Refund & Cancellation Policy, incorporated into these Terms by reference. Key points:
- Billed monthly from the date of Plaque purchase
- $29.95 per month, billed automatically to the payment method on file
- Cancel anytime in one click from the account dashboard
- Pre-billing reminders sent 7 days and 1 day before the first paid billing
- If you cancel, the Wall remains viewable; only the premium feature set pauses
- No prepaid, annual, or multi-year Subscriptions are offered on this storefront
10. The Plaque — warranties and limitations
We warrant that the Plaque, when used in accordance with the installation instructions, will be free from defects in materials and workmanship — including corrosion, fading, surface wear, and unreadable QR code — for fifty (50) years from the date of delivery. The exclusive remedy under this warranty is the replacement of a defective Plaque at no charge.
11. The Wall — service level
We target 99.9% uptime for the Wall hosting service. We do not guarantee uninterrupted service. In the event of sustained service interruption (more than 48 continuous hours in any single instance, or more than 7 cumulative days in any quarter), the affected month's Subscription will be credited or refunded proportionally upon your request.
12. Limitation of liability
To the maximum extent permitted by applicable law:
- Solia Wall's total cumulative liability to any single Customer for any cause of action arising out of these Terms, the Plaque, or the Wall services, is limited to the total amount paid by the Customer to Solia Wall in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.
- Solia Wall shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, even if Solia Wall has been advised of the possibility of such damages.
13. Disclaimer of warranties
EXCEPT AS EXPRESSLY SET FORTH IN SECTION 10, ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
14. Indemnification
You agree to indemnify, defend, and hold harmless Blanc Steeze LLC, Solia Wall, and their respective officers, directors, employees, contractors, agents, licensors, and successors from any and all claims, liabilities, damages, losses, costs, and expenses arising from or related to: your breach of these Terms; your unauthorized use of any third party's intellectual property, likeness, or personal information; your violation of any applicable law; Content you upload to a Wall; or your gross negligence or willful misconduct.
15. Modifications to these Terms
We may update these Terms from time to time. Material changes will be notified to account holders by email at least 30 days in advance where reasonably practicable.
16. Termination
You may terminate your account at any time via the account dashboard or by emailing support@soliawall.com. Upon termination, you may export your Content as described in the Privacy Policy. We may terminate or suspend service for material breach of these Terms.
17. Dispute resolution — mandatory binding arbitration and class action waiver
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT, AND IT WAIVES YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.
17.1 Agreement to arbitrate
Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect.
17.2 Location and procedure
The arbitration will be conducted in the State of Wyoming, or remotely by video conference at the Customer's option. The arbitrator's decision will be final and binding.
17.3 Class action waiver
YOU AND SOLIA BOTH AGREE THAT ANY DISPUTE WILL BE BROUGHT IN INDIVIDUAL CAPACITY ONLY, NOT AS A CLASS REPRESENTATIVE OR CLASS MEMBER.
17.4 Exceptions
- Small-claims court: Either party may bring an individual claim in small-claims court in lieu of arbitration.
- Injunctive relief: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction.
17.5 Opt-out right
You may opt out of this arbitration agreement by sending written notice to Solia Wall at the address in Section 21 within thirty (30) calendar days of your first purchase or account creation.
18. Governing law and venue
These Terms are governed by and construed in accordance with the laws of the State of Wyoming. Except for matters covered by arbitration under Section 17 above, all disputes shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming.
19. Severability and entire agreement
If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy, Refund & Cancellation Policy, Shipping Policy, Return Policy, Cookie Policy, Acceptable Use Policy, and DMCA Policy, constitute the entire agreement.
20. Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of substantially all assets, or to a successor entity without your consent.

22. Force majeure
Solia Wall shall not be liable for any failure or delay in performance under these Terms caused by events outside our reasonable control, including but not limited to natural disasters, acts of war or terrorism, pandemics, government actions, internet service disruptions, or third-party-service-provider failures.
23. No waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
